Operative provisions

This Marketplace Vendor / Tailor Agreement is made on the Effective Date stated on the cover page, between Khayati | خيّاطي and the Vendor named. Khayati | خيّاطي operates an online marketplace platform connecting customers with participating tailors, vendors and businesses.

The Vendor agrees to offer its tailoring, clothing, customization and related products/services through the Khayati Platform and to fulfil accepted customer orders in accordance with the agreed specifications.

Vendor responsibilities

The Vendor agrees to:

• Provide accurate business, product/service, pricing and contact information.
• Keep product/service availability and prices up to date.
• Fulfil accepted orders according to the customer's approved specifications.
• Maintain appropriate quality and workmanship standards.
• Complete orders within the agreed timeframe.
• Inform Khayati promptly of any significant delay or issue.
• Cooperate with Khayati in handling customer complaints and order issues.
• Comply with applicable UAE laws, regulations and licensing requirements.
• Not offer illegal, counterfeit, misleading or prohibited products/services.

The Vendor is responsible for the products and services supplied to customers through the Platform.

Vendor listing & marketing

The Vendor authorizes Khayati to display and promote the Vendor's:

• Business/shop name and logo;
• Products and services; Photographs; Prices;
• Offers; and Other information provided by the Vendor.

The Vendor confirms that it has the right to provide such information and materials to Khayati.

Orders & customer service

The Vendor shall process orders received through Khayati | خيّاطي and make reasonable efforts to:

• Confirm and fulfil accepted orders;
• Follow approved measurements and specifications;
• Complete orders on time;
• Correct issues attributable to the Vendor; and
• Cooperate with Khayati in resolving customer complaints.

For customized or made-to-measure orders, the Vendor shall confirm the customer's requirements before production.

Platform fee & commission

Khayati | خيّاطي will provide the Vendor with free platform services for the first three (3) months from the Vendor's activation date.

During this initial period, no Khayati platform commission/service fee will be charged unless otherwise agreed in writing. After the free period, any applicable commission or platform fee will be communicated to the Vendor in advance and agreed before becoming applicable.

Payments & payouts

Customer payments may be processed through payment methods integrated with the Khayati | خيّاطي Platform. Vendor payouts will be processed according to the applicable Khayati and payment-provider procedures, subject to successful order completion, refunds, cancellations, disputes, chargebacks and applicable fees.

Khayati | خيّاطي may temporarily hold or adjust a payout where reasonably required due to a customer dispute, refund, chargeback, unresolved order issue, suspected fraudulent activity, breach of this Agreement, or payment-provider/legal requirement.

Returns, refunds & alterations

The Vendor agrees to comply with Khayati | خيّاطي applicable Return, Refund and Cancellation Policy. Where a product/service issue is attributable to the Vendor, including defective workmanship, incorrect specifications or failure to fulfil the agreed order, the Vendor shall cooperate in providing an appropriate solution, which may include correction, alteration, replacement or refund.

For customized or made-to-measure products, applicable return and cancellation conditions shall be communicated to the customer before order confirmation.

Customer information

Customer information obtained through Khayati | خيّاطي shall only be used for legitimate purposes related to fulfilling the customer's order. The Vendor shall not sell, misuse, disclose or share customer information with unauthorized parties and shall take reasonable measures to protect such information.

The Vendor shall not intentionally bypass Khayati for transactions that originated through the Platform using customer information obtained through Khayati.

Compliance & vendor documents

The Vendor confirms that the information and documents provided to Khayati | خيّاطي are accurate and valid. The Vendor shall maintain any licenses, registrations, approvals or permissions required for its business and shall comply with applicable UAE laws and requirements.

Khayati may request updated documentation where reasonably required for verification, compliance or payment processing.

Suspension & termination

Khayati | خيّاطي may suspend or restrict a Vendor account where reasonably necessary due to serious customer complaints, repeated order failures, fraudulent or misleading information, quality issues, and payment disputes, breach of this Agreement, invalid documentation or legal/payment-provider requirements. Either party may terminate this Agreement by written notice.

Termination shall not affect outstanding orders, payments, refunds, customer complaints or other obligations that reasonably continue after termination.

Khayati's role

Khayati | خيّاطي provides the technology and marketplace platform connecting customers with Vendors/Tailors. Unless otherwise agreed in writing, Khayati | خيّاطي is not the manufacturer or tailor of products supplied by the Vendor and does not control the Vendor's day-to-day business operations.

The Vendor remains responsible for the products and services it provides.

Governing law & disputes

The parties shall first attempt to resolve any dispute amicably through good-faith communication.

If a dispute cannot be resolved amicably, it shall be handled in accordance with the applicable laws and jurisdiction of the United Arab Emirates.

Agreement & electronic signature

Both parties confirm that they have read and accepted the terms of this Agreement.

This Agreement may be signed electronically where legally permitted, and an electronic signature or legally recognized electronic acceptance may be used as evidence of acceptance.
